1. Agreement to Terms

By accessing or using the services provided by Ty G. Wells (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Ty G. Wells provides fractional AI advisory services, including but not limited to:

• AI strategy development and consultation
• Technology evaluation and recommendations
• Team enablement and training
• Governance and ethics advisory
• ROI optimization guidance
• Proof of concept review and feedback

3. Account Registration and Eligibility

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization.

4. Engagements, Pricing and Payment

Advisory engagements are scoped and priced in a written proposal before any work starts. The proposal sets out the deliverables, timeline, fees and payment schedule, and it governs that engagement alongside these Terms. Where the proposal and these Terms conflict, the proposal wins.

Some offerings, such as the Primer, list a published starting price on this website. The final price is confirmed in the proposal.

• Invoices are payable on the terms stated in the proposal
• Fees exclude taxes unless the proposal says otherwise
• Work may pause if an invoice is overdue

5. Changes, Cancellation and Refunds

Either party may end an engagement as described in its proposal. Unless the proposal says otherwise, you pay for work completed up to the date of cancellation, and fees for work already delivered are not refundable except where the law requires it. The free 15-minute fit session carries no obligation.

6. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or harmful content
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Services
• Impersonate others or provide false information
• Share your account credentials with unauthorized parties

7. Intellectual Property

Our Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and methodologies, are owned by Ty G. Wells and protected by intellectual property laws.

Your Content

You retain ownership of content you provide. By using our Services, you grant us a limited license to use, store, and process your content solely to provide the Services. We will not share your proprietary information without your consent.

Work Product

Deliverables and work product created specifically for you during our engagement belong to you upon full payment. General methodologies, frameworks, and pre-existing materials remain our property.

8. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information, business strategies, or technical details to third parties without your consent, except as required by law or as necessary to provide the Services (e.g., with authorized service providers under confidentiality obligations).

9. Disclaimers and Limitations

Advisory Nature

Our Services are advisory in nature. We provide recommendations and guidance, but implementation decisions and outcomes are your responsibility. We do not guarantee specific business results or outcomes.

Service Availability

Services are provided "as is" and "as available." We do not warrant uninterrupted or error-free service. We reserve the right to modify or discontinue features with notice.

Limitation of Liability

To the maximum extent permitted by law, Ty G. Wells shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Services. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Ty G. Wells from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of third parties.

11. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access immediately if you:

• Violate these Terms
• Fail to pay fees
• Engage in fraudulent activity
• Pose a security or legal risk

Upon termination, your right to use the Services ceases immediately. Provisions that by nature should survive (confidentiality, intellectual property, limitations of liability) will continue.

12. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Binding arbitration as a final resort

These Terms shall be governed by the laws of the United States, without regard to conflict of law provisions.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform. Continued use of the Services after changes constitutes acceptance of the modified Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Ty G. Wells
• Severability: If any provision is found unenforceable, the remainder remains in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms; we may assign them with notice
• Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
